1. Acceptance of terms
By accessing or using the services provided by MB Solutions AI ("Company," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.
These Terms constitute a legally binding agreement between you and MB Solutions AI. By engaging our services, submitting a service agreement, or using any of our platforms, you acknowledge that you have read, understood, and agree to be bound by these Terms.
2. Description of services
MB Solutions AI provides the following professional services:
- Website design & development — Custom-built, responsive websites tailored to your business needs.
- AI chatbot integration — Intelligent conversational agents deployed on your website to engage visitors and capture leads.
- AI phone receptionist — Automated phone answering systems powered by artificial intelligence to handle calls on your behalf.
- Search engine optimization (SEO) — On-page and off-page optimization strategies to improve your search engine rankings.
- Digital marketing — Comprehensive marketing strategies including content marketing, paid advertising, and social media management.
The specific scope of services provided to you will be outlined in your individual service agreement or proposal.
3. Account registration & responsibilities
When registering for our services or creating an account, you agree to:
- Provide accurate, current, and complete information during registration and in all communications with MB Solutions AI.
- Keep your account credentials, passwords, and access information secure and confidential at all times.
- Notify us immediately of any unauthorized use of your account or any other breach of security.
- Accept responsibility for all activities that occur under your account.
MB Solutions AI is not liable for any loss or damage arising from your failure to maintain the security of your account credentials.
4. Payment & billing
By engaging our services, you agree to the following payment terms:
- Setup fees are due upfront before work begins on your project.
- Monthly service fees are automatically billed on the 1st of each month.
- A late fee of 1.5% per month will be applied to any outstanding balance that remains unpaid for more than 15 days past the due date.
- All payment processing is handled securely through Stripe.
You are responsible for keeping your payment method up to date. If a payment fails, we will attempt to notify you and may suspend services until the balance is resolved.
5. Service level
MB Solutions AI strives to provide reliable, high-quality services with best-effort uptime for all hosted websites and AI systems. However, we do not guarantee 100% uptime.
Scheduled maintenance may be performed from time to time to improve, update, or secure our systems. We will provide reasonable advance notice before any scheduled maintenance that may impact your services.
We are not liable for service interruptions caused by factors beyond our control, including but not limited to third-party hosting outages, internet service disruptions, or force majeure events.
6. Intellectual property
Intellectual property rights are allocated as follows:
- MB Solutions AI retains ownership of all proprietary tools, templates, frameworks, AI models, and systems used in the delivery of services.
- You retain ownership of all content you provide, including text, images, logos, and other materials supplied for use in your project.
- While your subscription or service agreement is active, you are granted a non-exclusive, non-transferable license to use the deliverables created for you by MB Solutions AI.
Upon termination of services, the license to use MB Solutions AI proprietary tools and templates is revoked. Your own content remains yours.
7. Acceptable use
You agree that you will not use MB Solutions AI services to:
- Host, distribute, or promote any illegal, harmful, or objectionable content.
- Abuse, exploit, or misuse any AI systems, chatbots, or phone receptionist services provided by MB Solutions AI.
- Resell, redistribute, or sublicense any MB Solutions AI services to third parties without our prior written permission.
- Engage in any activity that could damage, disable, or impair our systems or interfere with other clients' use of services.
Violation of this acceptable use policy may result in immediate suspension or termination of your services without refund.
8. Limitation of liability
To the maximum extent permitted by applicable law:
- MB Solutions AI's total liability is capped at the total fees paid by you in the 12 months preceding the event giving rise to the claim.
- MB Solutions AI shall not be liable for any consequential, incidental, indirect, special, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
- All AI-powered services (chatbots, phone receptionists, and AI-generated content) are provided "as-is" without warranties of any kind, express or implied.
You acknowledge that AI systems may occasionally produce inaccurate or unexpected outputs, and MB Solutions AI is not responsible for decisions made based on AI-generated content.
9. Indemnification
You agree to indemnify, defend, and hold harmless MB Solutions AI, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
- Content you provide to us for use in your website, AI systems, or marketing materials.
- Your use of our services in violation of these Terms.
- Any third-party claims related to content or materials you supply.
10. Termination
Either party may terminate the service agreement under the following conditions:
- Either party may terminate with 30 days' written notice to the other party.
- MB Solutions AI reserves the right to immediately terminate services in the event of a material breach of these Terms by the Client.
- Upon cancellation or termination, your website and associated services will be taken offline within 30 days of the effective termination date.
It is your responsibility to export or back up any content or data before the termination takes effect. MB Solutions AI is not obligated to retain your data after the 30-day post-termination period.
11. Dispute resolution
In the event of any dispute arising from or relating to these Terms or the services provided:
- The parties agree to first attempt to resolve the matter through good faith negotiation.
- If negotiation is unsuccessful, the dispute shall be submitted to mediation in Champaign County, Illinois.
Each party shall bear its own costs for mediation. The parties agree to participate in mediation in good faith before pursuing any other legal remedies.
12. Governing law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any legal proceedings arising from these Terms shall be conducted in the courts of Champaign County, Illinois.
13. Changes to terms
MB Solutions AI reserves the right to modify these Terms at any time. When changes are made:
- We will provide 30 days' notice via email before any material changes take effect.
- Your continued use of our services after the notice period constitutes acceptance of the updated Terms.
If you do not agree with the revised Terms, you may terminate your services in accordance with the termination provisions outlined in Section 10.
14. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.
